Caitlin R. Stanton

Caitlin is a member of the firm’s Business Services practice group. She serves as outside general counsel to entrepreneurs, start-up companies, mature businesses, non-profits, and investors, advising them on entity formation, corporate governance, acquisitions, securities law compliance, equity compensation, employment matters, intellectual property, and debt and equity financings, including commercial debt, venture capital, and crowdfunding. Before joining Jensen Baird, Caitlin practiced at a boutique firm in Burlington, Vermont where she provided general corporate representation across a wide range of industries, including technology, medical device, food and beverage, consumer product, renewables, restaurant and hospitality, and manufacturing. 

Drawing upon her experience in corporate law and litigation, Caitlin provides experienced, practical, and insightful counsel to companies at a variety of stages, in a wide range of industries, and with diverse needs. Caitlin enjoys working closely with clients helping them make sense of the regulatory process and supporting them through periods of growth. Her work spans the entire corporate life cycle, including start-up matters and strategy, general corporate representation and counseling, venture capital financings, commercial contracts, and transactions (including real estate and mergers and acquisitions).

Caitlin graduated from Vermont Law School, magna cum laude, where she was Articles Editor of the Vermont Law Review, a member of the Moot Court Advisory Board, and a student clinician at the law school’s Environmental and Natural Resources Law Clinic. As a law student, Caitlin also co-authored the book “Environmental Law for Non-Lawyers.” After graduation, she clerked for the Environmental Division of the Vermont Superior Court and then for Justice Harold Eaton of the Vermont Supreme Court.  Caitlin was selected as a Super Lawyers Rising Star for 2020 through 2024. 

A graduate of Burke Mountain Academy, Caitlin enjoys skiing and hiking Maine’s mountains. She lives with her husband and daughter in Portland.
